"AS IS" and "AS AVAILABLE" Disclaimer
The Service is provided to You "AS IS" and "AS AVAILABLE" and with all faults and defects without warranty of any kind. To the maximum extent permitted under applicable law, the Company, on its own behalf and on behalf of its Affiliates and its and their respective licensors and service providers, expressly disclaims all warranties, whether express, implied, statutory or otherwise, with respect to the Service, including all implied warranties of merchantability, fitness for a particular purpose, title and non-infringement, and warranties that may arise out of course of dealing, course of performance, usage or trade practice. Without limitation to the foregoing, the Company provides no warranty or undertaking, and makes no representation of any kind that the Service will meet Your requirements, achieve any intended results, be compatible or work with any other software, applications, systems or services, operate without interruption, meet any performance or reliability standards or be error free or that any errors or defects can or will be corrected.
Without limiting the foregoing, neither the Company nor any of the company's provider makes any representation or warranty of any kind, express or implied: (i) as to the operation or availability of the Service, or the information, content, and materials or products included on them; (ii) that the Service will be uninterrupted or error free; (iii) as to the accuracy, reliability, or currency of any information or content provided through the Service; or (iv) that the Service, its servers, the content, or emails sent from or on behalf of the Company are free from viruses, scripts, trojan horses, worms, malware, timebombs or other harmful components.
Some jurisdictions do not allow the exclusion of certain types of warranties or limitations on applicable statutory rights of a consumer, so some or all the above exclusions and limitations may not apply to You. But in such a case the exclusions and limitations set forth in this section shall be applied to the greatest extent enforceable under applicable law.
Governing Law
The laws of the State of Illinois, excluding its conflicts of law rules, shall govern this Terms and Your use of the Service. Your use of the Application may also be subject to other local, state, national, or international laws.
Disputes Resolution
BINDING ARBITRATION, CLASS ACTION WAIVER, AND JURY WAIVER
All disputes, controversies or claims (each a "Dispute") arising out of, relating to or in connection with this Agreement, Your use of the Service, Your use of the Website or in any other way relating to the Company, including, without limitation, any dispute about its arbitrability, validity or termination, or the performance or breach of the same, shall be exclusively and finally settled by arbitration administered by the American Arbitration Association ("AAA").
You or We may initiate arbitration by notice to the other party (a "Request for Arbitration"). The arbitration shall be conducted in accordance with the AAA rules governing commercial arbitration in effect at the time of the arbitration, except as they may be modified by the provisions of these Terms and Conditions. The place of the arbitration shall be Peoria, Illinois. The language of the arbitration shall be English. The arbitration will be conducted by a single arbitrator appointed by You and Us within 15 days after delivery of the Request for Arbitration. In the event You and We fail to appoint a person to serve as arbitrator within 15 days after delivery of the Request for Arbitration, the AAA will appoint an appropriate arbitrator within five days after the expiration of such 15-day period. Any individual will be qualified to serve as an arbitrator if they are an individual who has no material business relationship, directly or indirectly, with any of the parties to the action and who has at least 10 years of experience as an attorney or judge.
The arbitration will commence within 30 days after the appointment of the arbitrator; the arbitration shall be completed within 60 days of commencement, and the arbitrator's award will be made within 30 days following such completion. The parties may agree to extend the time limits specified in the above sentence.
The arbitrator will apply the substantive law and the law of remedies, if applicable, of the State of Illinois without reference to its internal conflicts of laws principles, and will be without power to apply any different substantive law. The arbitrator will render an award and a written opinion in support. Such award will include the costs related to the arbitration. The arbitrator will have no authority to award attorneys’ fees as costs or otherwise.
The arbitrator also has the authority to grant provisional remedies, including, without limitation, injunctive relief, and to award specific performance. The arbitrator may entertain a motion to dismiss and/or a motion for summary judgment by any party, applying the standards governing such motions under the Federal Rules of Civil Procedure, and may rule on any claim or counterclaim, or any portion thereof (a "Claim"), without holding an evidentiary hearing, if, after allowing the parties to present written submission and documentary evidence, the arbitrator finds no material issue of fact and that the Claim may be determined as a matter of law.
The parties waive, to the fullest extent permitted by law, any rights to appeal, or to review of, any arbitrator's award by any court. The arbitrator's award shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.
Notwithstanding the foregoing, any party to this Agreement may seek injunctive relief, specific performance, or other equitable remedies from a court of competent jurisdiction without first pursuing resolution of the dispute as provided above. Each party to this Agreement irrevocably submits to the non-exclusive jurisdiction and venue in the courts of the State of Illinois and of the United States sitting in Peoria County, Illinois in connection with any such equitable proceeding, and waives any objection based on forum non conveniens.
Any Dispute between the parties may be brought only in an individual capacity and not as a class representative or class member in any class action or class arbitration. You will not seek to combine or consolidate any proceeding with those of any other entity or person without the written consent of all parties to this Agreement. You and We agree to waive any right to bring or participate in any class action or class arbitration against the other party. All Disputes between the parties will be resolved on an individual basis only.
EACH PARTY TO THIS AGREEMENT IRREVOCABLY WAIVES SUCH PARTY'S RIGHT TO A TRIAL BY JURY IN CONNECTION WITH ANY ACTION TO ENFORCE AN ARBITRATOR'S DECISION OR AWARD UNDER TO THIS SECTION OF THIS AGREEMENT.
You and We agree to maintain confidentiality as to all aspects of the arbitration, except as may be required by applicable law, regulations or court order, or to maintain or satisfy any suitability requirements for any license by any state, federal or other regulatory authority or body, including professional societies and organizations; provided, that nothing here shall prevent a party from disclosing information about the arbitration to enforce the award. You and We also agree to obtain the arbitrator's agreement to preserve the confidentiality of the arbitration.

Severability and Waiver
Severability
If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the goals of such provision as much as possible under applicable law and the remaining provisions will continue in full force and effect.
Waiver
Except as provided herein, the failure to exercise a right or to require performance of an obligation under these Terms shall not affect a party's ability to exercise such right or require such performance at any time after that nor shall the waiver of a breach constitute a waiver of any subsequent breach.
